These terms of use (the "Terms of Use") set out the rules for using the ResellOS service, comprising the online app app.resell-io.com and the ResellOS extension for the Chrome browser (the "Service"), published by NAVIR (see the legal notice).
The Service is reserved for business users (companies, sole traders, self-employed individuals) acting for the purposes of their business. These Terms of Use apply to the client holding the account and to any person it authorises to use the Service (the "User"). Creating an account requires their express acceptance by ticking a box. The financial terms of the subscription are set out in the Terms of Sale.
The User provides accurate information when registering, in particular its SIRET number (or, outside France, its company registration number) and its business status, and keeps it up to date. The User is responsible for keeping its password confidential and for any action carried out from its account. It informs support@resell-io.com without delay of any unauthorised use.
The account holder is responsible for the people to whom it gives access to the Service.
The Service is intended for managing a business that resells goods, in particular second-hand goods. The User must not, in particular:
The Service helps the User prepare and publish its listings on third-party marketplaces such as Vinted, eBay, Leboncoin or Vestiaire Collective. ResellOS is not affiliated with, a partner of, or endorsed by these marketplaces.
The User remains the sole holder of its accounts on these marketplaces. It is the User's responsibility to comply with their terms of use, in particular their rules on listings, photos, prices, listing volumes and the use of assistance or automation tools. A marketplace may restrict, suspend or close a seller account under its own rules; NAVIR has no control over these decisions.
Publishing, relisting and price-drop features are triggered and configured by the User, who remains responsible for them.
The ResellOS extension fills in the marketplaces' listing forms in the User's browser, using the item records in its account. The User checks each listing before submitting it on the marketplace. How the extension works and the data it uses are described in its privacy policy (in French).
The extension may stop working, in whole or in part, if a marketplace changes its pages; NAVIR then endeavours to adapt it within a reasonable time, without being able to guarantee it.
The User retains ownership of the content it records in the Service (photos, descriptions, stock, sales, supplier or consignor data). It warrants that it holds the necessary rights to this content, in particular to the photos.
It grants NAVIR, only for the duration of its use of the Service and only for the purposes of the Service, the right to host, reproduce, transform (resizing, AI processing at its request) and transmit this content to the marketplaces it has chosen.
Where the User records personal data of third parties (buyers, suppliers, consignors), it does so under its own responsibility and in compliance with data protection regulations.
The Service offers artificial intelligence features: writing or improving listing titles and descriptions, suggested replies to buyers, photo editing (for example background removal or replacement).
AI-generated content is a suggestion. It may contain errors, omissions or inaccurate statements (size, material, brand, condition, defects). The User undertakes to review and, where necessary, correct each generated text, and to check that each edited photo faithfully represents the item sold and its actual condition, before publishing or sending anything. The User remains solely responsible for the listings and messages it publishes or sends.
The data sent to AI processing and the providers involved are listed in the privacy policy.
NAVIR makes its best efforts to keep the Service available, without guaranteeing uninterrupted availability. NAVIR may change the features of the Service; a change that would remove an essential feature of a current subscription is notified in advance under the conditions set out in the Terms of Sale.
The User is advised to keep its own copies of important photos and information.
In the event of a breach of these Terms of Use, NAVIR may, after asking the User to remedy it, suspend access to the Service or close the account. In the event of fraudulent or unlawful use, or use that threatens the security of the Service or of other users, suspension may be immediate.
The User may ask at any time for its account to be closed by writing to support@resell-io.com, subject to the cancellation terms of its subscription set out in the Terms of Sale.
The Service, its software, interface, trade marks and content are protected by intellectual property law and remain the exclusive property of NAVIR. Any unauthorised reproduction, decompilation or exploitation is prohibited, except within the limits provided by law.
NAVIR's liability towards the User is governed by the Terms of Sale. NAVIR is not responsible for content published by the User, nor for relations between the User, the marketplaces and its buyers.
NAVIR may amend these Terms of Use. The User is informed of any substantial change by email or in the app before it comes into force. Continued use of the Service after that date constitutes acceptance of the new terms; a User who does not accept them may close its account.
These Terms of Use are governed by French law. The jurisdiction rules set out in the Terms of Sale apply.
